By accessing or using SpendGuard ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

SpendGuard is a cloud cost optimization service that connects to your Amazon Web Services (AWS) account using read-only credentials to scan for wasted or underutilized resources and provide actionable recommendations. The Service operates in a read-only capacity and will never create, modify, or delete any of your cloud resources.

3. Account Registration

To use the Service, you must provide a valid email address. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Cloud Account Credentials

You are responsible for ensuring that the AWS credentials you provide have only the necessary read-only permissions. We recommend using the IAM policy template provided within the Service. You acknowledge that:

• You have authorization to connect the AWS accounts you add to the Service
• The credentials you provide are encrypted at rest using industry-standard encryption
• You can revoke access at any time by deleting the cloud account from SpendGuard or rotating your AWS credentials

5. Subscription and Billing

SpendGuard offers a free tier and paid subscription plans. By subscribing to a paid plan, you agree to pay the applicable fees. Subscriptions are billed in advance on a monthly or annual basis. You may cancel your subscription at any time, and your access will continue until the end of the current billing period.

Refunds are handled on a case-by-case basis. Please contact us if you believe you are entitled to a refund.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to scan accounts you do not own or have authorization to manage

7. Cost Estimates Disclaimer

The cost savings estimates provided by SpendGuard are approximations based on publicly available pricing information and heuristic analysis. Actual savings may vary. We do not guarantee any specific cost reduction, and you are responsible for verifying recommendations before taking action on your AWS resources.

8. Limitation of Liability

To the maximum extent permitted by law, SpendGuard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to SpendGuard in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

We may terminate or suspend your account at any time if you violate these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated terms on this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
